Pre-Covid these targets ensured a robust cash flow and attractive growth potential. Conceptional guides both investors and vendors through these F&B mergers and acquisitions. We support vendors in profit optimisation, perform vendor due diligence, draft the investment memorandum and jointly search for the right investor.
For investors, we participate in the transaction team and advise financial and legal advisors in order to identify company-specific information and risks. In addition, we conduct detailed due diligence on the status and sustainability of brand promise, concept, branding, menu, operations, people & resources, potential of the individual location and future growth potential in specific markets.

To ensure that you will not face any unpleasant surprises, we will start with an analysis to gain insight into the potential objectives, (financial) feasibility and risks. In addition, we assist in the sales process as well as the due diligence process. As part of the transaction team, we advise financial and legal advisors to identify company-specific information and risks. In addition, we conduct detailed due diligence on the status and sustainability of brand promise, concept, branding, menu, operations, people & resources, potential of the individual location and future growth potential in specific markets. Based on this, we draw up a “Plan To Win” with a detailed strategy to achieve optimal (financial) performance. To translate this strategy into implementation, we can provide support in the (re)development of the concept, so that it forms a solid basis for growth.
BUILDING A SUSTAINABLE PROPOSITION
Our way of working (Vendor)
Together with the current owner, we look for the right investor for the entrepreneur. We start with a quick scan to objectively map out the strengths and weaknesses and derive the solutions for the challenges. If relevant, we first draw up a clear ‘Plan to Win’ and support the company in (partly) executing this plan, so that its feasibility can be demonstrated and thus the value of the company can be increased. This is accompanied by an EBITDA bridge in which we translate the defined actions into the impact on profitability. If desired, we can deepen the quick scan to a complete vendor due diligence.
By formulating the investment memorandum we ensure that the company is presented in the right way and that current and future potential is clearly described and substantiated.
Based on the agreed investor profile, we will then search for the right investor and support the negotiations up to the letter of intent or final agreement. We usually do this in close cooperation with the client’s legal, and possibly financial, advisory team.
